END-USER LICENSE AGREEMENT (EULA)

PLEASE READ CAREFULLY AND ENSURE YOU AGREE BEFORE USING OUR PRODUCT

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Linchpin Datatech Pvt. Ltd. ("Licensor") (owner of the website and brand TheSavvyTech) for the software product which includes computer software, Directus data models & image assets, Noodl components & projects, and other resources provided as part of the Noodl - Directus Boilerplate Kit ("Software"). By accessing, downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

1. GRANT OF LICENSE
Linchpin Datatech Pvt. Ltd. grants you an ongoing, non-exclusive license to use the Software, including the data models, advanced workshops, and other resources provided as part of the Noodl - Directus Boilerplate Kit software. This license is granted to one individual (the "Purchaser") to access and use the resources.

2. PERMITTED USES
You are permitted to use the Directus data models & image assets, Noodl components & projects and other resources provided, to:

Create end products for unlimited clients (including yourself), as well as end products that are sold to end users.

3. PROHIBITED USES
You agree not to, and you will not permit others to:

- Create end products that allow other users to create their own end products using the Noodl - Directus Boilerplate Kit resources or derivatives of these resources.
- Redistribute the Software or any components of it as standalone products, either in code or as design assets.
- Share your access to the Noodl - Directus Boilerplate Kit resources, or screenshots of the Boilerplate Kit resources with any other individual/business entities.
- Use the Noodl - Directus Boilerplate Kit resources to produce anything that may be deemed by Linchpin Datatech Pvt. Ltd., in their sole and absolute discretion, to be competitive with or in conflict with the business of Linchpin Datatech Pvt. Ltd..

4. COPYRIGHT
The copyright of the Directus data models & image assets, Noodl components & projects and other resources provided as part of the Software is owned by Linchpin Datatech Pvt. Ltd.. You are granted only the permissions described in this license; all other rights are reserved. Linchpin Datatech Pvt. Ltd. reserves the right to pursue legal remedies for any unauthorized use of the resources.

5. COMPETITION
If Linchpin Datatech Pvt. Ltd. believes that your use of the Software is in competition with us, we reserve the right to determine if you are in violation of this license and take appropriate action.

6. TERMINATION
This EULA is effective until terminated. If you violate these terms, Linchpin Datatech Pvt. Ltd. reserves the right to pursue legal remedies.

7. SUPPORT
Noodl - Directus Boilerplate Kit is a self-serve product. While we do offer customer support for account and billing issues, we do not offer (unpaid) technical support or consulting.

8. REFUND POLICY
All sales are final. No refunds will be issued under any circumstances. You agree that you have no right to any refund for any reason.

9. OWNERSHIP AND INTELLECTUAL PROPERTY
The Software is licensed, not sold. Linchpin Datatech Pvt. Ltd. retains all right, title, and interest in and to the Software, including all intellectual property rights. All rights not expressly granted to you in this EULA are reserved by Linchpin Datatech Pvt. Ltd..

10.  NO WARRANTY
The Software is provided "AS IS," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. In no event shall Linchpin Datatech Pvt. Ltd. be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Software or the use or other dealings in the Software.

11.  LIMITATION OF LIABILITY
In no event will Linchpin Datatech Pvt. Ltd. be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Linchpin Datatech Pvt. Ltd. has been advised of the possibility of such damages.

12.  GOVERNING LAW
This EULA will be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

13.   ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Linchpin Datatech Pvt. Ltd. and supersedes any prior or contemporaneous understandings, representations, or agreements, whether oral or written, regarding the Software.

14.   SEVERABILITY
If any provision of this EULA is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this EULA shall remain in full force and effect.
